Terms of service

These terms bind CLWS LLC and the customer named in an order or subscription agreement that refers to them. The person accepting the order confirms that they can act for the customer.

The subscription provides access to the product named in the order for the stated term and scope. It covers the software, the records it creates and the support described in the order.

The subscription does not include legal advice, insurance advice, claim adjustment, claim settlement, premium collection or decisions about what a customer should do with an output.

Prices are the prices published on the product pages. Subscriptions are annual and paid in advance. A three year term carries an 8% discount against a contractual 4% annual uplift.

An optional success fee is 15% of validated variance recovered or avoided in year one. It is capped at 1.5 times the annual subscription. It applies only when the customer has agreed to it in writing.

The subscription begins on the date in the order and runs for the term stated there. Any renewal follows the terms and price stated in the order or in a written renewal agreed by both parties.

Either party may end the subscription as set out in the order or another written agreement between them. When the subscription ends, access to the product ends and the customer can take its data before deletion.

A full export is available at any time, in an open format, with no exit fee.

Each party is responsible for the losses the final agreement says it must cover. The amount and any exceptions have not been set in this draft. Left for counsel.
